Representation of an Alberta, Canada corporation as a Canadian-court appointed receiver and manager in the commencement of a Chapter 15 foreign proceeding in the United States Bankruptcy Court, Middle District of Florida, Tampa Division. Representation resulted in successfully obtaining title to real property located in the United States and ultimate sale of such real property for the benefit of creditors in the Canadian receivership action.

Representation of restaurant franchisee in out of court work-out and restructuring of three operating restaurants in Pinellas and Pasco Counties, Florida. Representation resulted in successful sale of restaurants as on-going operating entities to a third party franchisee, release of liability under three long-term commercial real property leases, and release of liability under long-term equipment lease financing.

Representation of Tampa-based McDonalds franchisee in Knoxville, Tennessee bankruptcy filing by ImagePoint, Inc. and adversary proceeding seeking turnover on account of disputed claim under sign installation contract.

Brittany Park Holdings Group, LLC

Representation of Florida limited liability company consisting of members holding twenty-four (24) separate mortgages on real property located in Pinellas County. Representation included combining approximately $2 million in mortgage holdings for purpose of negotiating an out of court settlement with developer to secure an assignment of all development rights and interest in the real property from the developer in lieu of foreclosing 24 separate mortgages.

Representation of private lender in connection with Debtor-in-Possession financing loan in excess of $2 million to Chapter 11 Debtor, Florida Grande Motor Coach Resort, Inc., secured by priming mortgages on real property in Sumter County, Florida.

Outback Steakhouse, Inc.

Representation of Outback Steakhouse in $45 million acquisition of designation rights to seventy-six (76) restaurant properties in Chi Chi’s, Inc. Chapter 11 case in the United States Bankruptcy Court for the District of Delaware. Also handled two sub-designation agreements for portions of those properties.

Lykes Bros. Steamship

Assisted in representation of the debtor, the third largest U.S. flag international liner-carrier, in the sale of the debtor’s assets pursuant to a liquidating Chapter 11 plan.

JumboSports, Inc.

Assisted in representation of the debtor. A national retailer of sporting goods with assets on the petition date of $367 million and liabilities of $350 million. Debtor’s assets were sold pursuant to a liquidating Chapter 11 plan.
