Assisted in representation of Outback Steakhouse in $45 million acquisition of designation rights to seventy-six (76) restaurant properties in Chi Chi’s, Inc. Chapter 11 case in the United States Bankruptcy Court for the District of Delaware. Also handled two sub-designation agreements for portions of those properties.
Lykes Bros. Steamship
Assisted in representation of the debtor, the third largest U.S. flag international liner-carrier, in the sale of the debtor’s assets pursuant to a liquidating Chapter 11 plan.
JumboSports, Inc.
Assisted in representation of the debtor, a national retailer of sporting goods with assets on the petition date of $367 million and liabilities of $350 million. Debtor’s assets were sold pursuant to a liquidating Chapter 11 plan.
Carolina Sales, Inc.
Assisted in representation of Carolina Sales as the successful acquirer, in its $40 million purchase of substantially all assets of Silas Creek Retail, Inc. After obtaining Delaware Bankruptcy Court approval, the client assigned a portion of the purchase contract to Hancock Fabrics, Inc.
Wilkinson Hi-Rise, LLC and Wilkinson Chutes, Inc.
Assisted in representation of the debtors, the world’s largest manufacturers and installers of trash and laundry chutes for high rise buildings. A motion to sell substantially all of the assets of the debtors to a newly formed entity consisting of the debtors’ management and financial advisors was approved by the Court approximately three months after the petition date.
Essinar Properties, Inc.
Representation of a private lender in connection with Debtor-in-Possession financing loan in excess of $2 million to Florida Grande Motor Coach Resort, Inc. secured by priming mortgages on real property in Sumter County, Florida.
HRK Holdings, LLC
Representation of HRK Holdings, LLC in connection with its purchase of real property in Port Manatee, Florida from the bankruptcy estate of Piney Point Phosphates, Inc. This engagement included negotiation and closing of a $10 million loan secured by a mortgage on the Port Manatee, Florida real estate.
